IBS supplies products exclusively to professional and trade customers.

2. Application of these terms

These Terms of Sale apply to quotations, webshop orders, in-person purchases and other sales agreements between IBS and its customers.

Any different purchasing conditions submitted by the customer apply only when IBS accepts them in writing.

3. Products and product information

IBS takes reasonable care to present accurate product descriptions, dimensions, colours and images.

Screens, photography, materials and production batches affect how colours and finishes appear. Small differences in colour, size, finish or packaging do not constitute a defect when the product remains suitable for its intended use.

Customers remain responsible for checking product suitability before ordering.

4. Orders and acceptance

An order becomes binding once IBS confirms it.

IBS reserves the right to reject or cancel an order in the event of an obvious pricing error, suspected fraud, incorrect customer information, stock errors or circumstances preventing lawful supply.

If IBS cancels a prepaid order, IBS refunds or credits the affected amount.

5. Prices and VAT

Unless stated otherwise, all product prices exclude VAT.

VAT, delivery charges and packaging charges appear before the customer confirms and pays for the order.

IBS reserves the right to correct obvious pricing, calculation or product-information errors before accepting an order.

6. Payment

Webshop orders require payment at checkout using one of the payment methods offered.

Approved credit-account customers pay according to the payment terms stated on their invoice or written account agreement.

In-person purchases require payment using one of the methods available at the premises.

IBS issues electronic invoices and supports Peppol invoicing where applicable.

7. Late payment

Any invoice unpaid by its due date automatically bears interest, without prior notice, at the statutory rate applicable to late payments in commercial transactions under the Belgian Law of 2 August 2002. Interest runs from the due date until IBS receives full payment.

The customer also owes the statutory fixed compensation of €40 for recovery costs. IBS retains the right to recover additional reasonable collection costs where these exceed the fixed compensation.

IBS has the right to suspend further deliveries and withdraw credit facilities while an overdue amount remains unpaid.

8. Product availability

Stock information remains subject to confirmation.

When IBS does not have enough stock to complete an order, IBS contacts the customer before dispatch. The customer then chooses between:

  • Waiting for the missing product
  • Accepting a partial delivery
  • Selecting an available alternative
  • Cancelling the unavailable item and receiving a refund or credit

IBS does not make an unapproved substitution.

9. Delivery

IBS selects the carrier according to the destination, order contents, service requirements and available delivery options.

Delivery dates remain estimates unless IBS confirms a fixed date in writing.

The customer must provide complete and accurate delivery information. Additional costs resulting from incorrect information, refused delivery or repeated delivery attempts remain the customer's responsibility.

IBS contacts the customer before arranging an unapproved partial delivery or material change to the agreed delivery arrangement.

10. Collection and in-person purchases

Customers have the option to collect confirmed orders from IBS during the stated collection hours.

IBS informs the customer when an order is ready for collection. The customer should not travel to collect the order before receiving confirmation.

The person collecting the order must provide sufficient order or customer information.

11. Risk and ownership

When IBS arranges delivery, IBS remains responsible for the goods until the carrier delivers them to the agreed address.

For collection orders, risk transfers when the customer or the customer's representative receives the goods.

When the customer appoints their own carrier, risk transfers when IBS hands the order to that carrier.

All supplied goods remain the property of IBS until IBS receives full payment of every amount due for those goods.

12. Delivery inspection and transport damage

The customer must inspect the delivery promptly.

Visible transport damage must be recorded on the carrier's delivery document and reported to IBS immediately, preferably within 24 hours. The customer should provide photographs of the damaged goods, outer packaging, shipping label and delivery document.

Signing for visibly damaged goods without recording the damage affects IBS's ability to pursue a transport claim.

13. Shortages, incorrect products and visible defects

The customer must report shortages, incorrect products and visible defects within five working days after delivery.

The report must include the order or invoice number, affected product, quantity, photographs and relevant batch information.

The customer must retain the affected goods and packaging until IBS completes its assessment.

14. Hidden manufacturing defects

The customer must report a hidden manufacturing defect within 14 calendar days after noticing it.

The customer must stop using the affected goods where continued use risks further loss, damage or safety concerns.

IBS has the right to inspect the goods and request photographs, packaging, batch information or return of the affected products.

When IBS accepts a claim, IBS chooses an appropriate remedy consisting of replacement, repair or credit up to the invoiced value of the affected goods.

15. Returns

Returns require prior written approval from IBS.

Approved products must remain unused, unopened and in resalable condition. IBS inspects returned goods before issuing credit.

The customer pays the return transport costs unless IBS supplied an incorrect or defective product.

Personalised products, special orders, clearance products and opened sealed packages do not qualify for return unless they are defective or IBS agrees otherwise in writing.

Unauthorised returns do not qualify for credit.

16. Order cancellation

The customer must submit a cancellation request in writing.

Cancellation before IBS starts processing the order carries no cancellation charge.

Cancellation after processing starts but before dispatch incurs a charge equal to 15% of the cancelled order value.

Personalised products, special orders and products obtained specifically for the customer do not qualify for cancellation unless IBS agrees otherwise in writing. The customer remains responsible for costs already incurred.

Once an order has been dispatched, the returns policy applies.

17. Product use and safety

Customers must follow all product instructions, safety warnings, age restrictions and storage requirements.

The customer remains responsible for professional product selection, installation, handling and use.

IBS does not accept responsibility for damage resulting from incorrect use, improper storage, unsuitable installation, unauthorised alteration or failure to follow product instructions.

18. Liability

Where IBS accepts a valid product claim, IBS limits its obligation to replacement, repair or credit up to the invoiced value of the affected goods.

To the extent permitted under Belgian law, IBS does not accept liability for indirect losses such as loss of profit, loss of turnover, loss of opportunity, administrative costs or event-related consequential loss.

These limitations do not apply where Belgian law prohibits an exclusion or limitation of liability.

19. Force majeure

IBS does not bear responsibility for failure or delay caused by circumstances outside its reasonable control. These include supplier disruption, carrier disruption, strikes, fire, flooding, power or system failure, government measures, war and serious public-health emergencies.

IBS informs the customer promptly and proposes a revised delivery date or practical alternative.

The customer has the right to cancel affected products when the delay means they will arrive after a specific event date communicated to IBS when placing the order.

For orders without a communicated event deadline, either party has the right to cancel the affected part of the order when the disruption continues for more than 30 days.

IBS refunds or credits prepaid amounts relating to cancelled products. Neither party owes compensation for losses caused solely by the force majeure event.

20. Suspension and termination

IBS has the right to suspend or cancel an order when the customer fails to pay an amount when due, provides incorrect information, breaches these terms or enters insolvency proceedings.

This does not affect IBS's right to recover outstanding amounts, interest and recovery costs.

21. Personal information

IBS processes personal information according to its Privacy Policy.

22. Changes to these terms

IBS has the right to update these Terms of Sale. The version accepted when the customer places an order governs that order unless both parties agree otherwise in writing.

23. Severability

If a court finds one provision invalid or unenforceable, the remaining provisions continue to apply. The invalid provision will be replaced by a lawful provision reflecting its commercial purpose as closely as possible.

24. Belgian law and disputes

Belgian law governs all agreements with IBS.

Both parties first attempt to resolve a dispute through direct written communication.

If no resolution follows, the courts of the judicial district of Antwerp have exclusive jurisdiction.

IBS retains the right to bring proceedings before another legally competent court where required for debt recovery or enforcement.
